Please read these Terms of Service carefully before using Rex. By downloading, installing, or using the Rex application, you agree to be bound by these Terms. If you do not agree, do not use Rex.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Rex ("Rex," "we," "us," or "our") governing your access to and use of the Rex iOS application and related services (collectively, the "Service"). By accessing or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using Rex on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Eligibility
You must be at least 13 years of age to use Rex. By using the Service, you represent and warrant that:
- You are at least 13 years old.
- If you are between 13 and 17 years of age, your parent or legal guardian has reviewed and agreed to these Terms on your behalf, and consents to your use of the Service.
- You have the legal capacity to enter into these Terms in your jurisdiction.
- Your use of Rex does not violate any applicable law or regulation.
We reserve the right to verify your eligibility at any time and to suspend or terminate accounts that do not meet these requirements.
3. Account Registration and Security
To access certain features of Rex, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information to keep it accurate.
- Maintain the confidentiality of your account credentials (email and password).
- Not share your account with any other person or permit any other person to access your account.
- Notify us immediately of any unauthorized use of your account or any other breach of security at rexstudyapp@gmail.com.
- Be solely responsible for all activity that occurs under your account, whether or not authorized by you.
We are not liable for any loss or damage arising from your failure to maintain the security of your account. We reserve the right to disable any account at any time if we reasonably believe that you have violated these Terms.
4. License Grant
Subject to your compliance with these Terms, Rex grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- Download and install the Rex application on Apple-branded devices that you own or control.
- Use the App for your personal, non-commercial educational purposes.
This license does not include the right to: sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the App; use the App for any purpose other than your own personal learning; or make the App available to any third party.
5. Restrictions on Use
You agree that you will NOT:
- Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on Rex or any part thereof.
- Use the Service to develop, train, or improve any AI or machine learning model, including by scraping, harvesting, or extracting data.
- Use any automated means (bots, scrapers, crawlers) to access or interact with the Service.
- Attempt to gain unauthorized access to any part of the Service, its servers, or any database connected to Rex.
- Use the Service to transmit any viruses, malware, or other harmful code.
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
- Use the Service to send unsolicited communications or spam.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Use the Service for any illegal purpose or in violation of any applicable local, state, national, or international law.
- Circumvent, disable, or otherwise interfere with security-related features of the Service.
- Use the Service to generate, store, or distribute content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
- Use the Service in any manner that could damage, disable, overburden, or impair Rex's servers or networks.
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Service.
- Use the Service in any way that constitutes academic dishonesty, plagiarism, or cheating as defined by your educational institution's policies.
6. AI Features and Limitations
Rex includes artificial intelligence features including an AI tutor and interactive study tools. You acknowledge and agree that:
- Educational use only: AI-generated content within Rex is provided solely for educational assistance and informational purposes. It does not constitute professional, legal, medical, financial, or any other type of regulated advice.
- No guarantee of accuracy: AI responses may be inaccurate, incomplete, outdated, or inappropriate. You are solely responsible for evaluating the accuracy and appropriateness of AI-generated content before relying on it.
- Academic integrity: you are solely responsible for complying with your educational institution's policies on AI use. Rex is not responsible for any academic consequences resulting from your use of AI-generated content.
- No sensitive data: you agree not to submit to the AI tutor any sensitive personal information including (but not limited to) Social Security numbers, financial account details, medical records, passwords, or personal information of third parties.
- No harmful prompts: you agree not to attempt to use the AI to generate harmful, illegal, discriminatory, or policy-violating content. We reserve the right to filter, block, or log prompts that violate our policies.
- Model changes: we may update, replace, or discontinue any AI model or feature at any time without notice.
7. User Content
7.1 Ownership
You retain all ownership rights to the content you create within Rex ("User Content"), including boards, notes, drawings, and other materials. Rex does not claim ownership of your User Content.
7.2 License to Rex
By creating or uploading User Content to Rex, you grant us a limited, worldwide, royalty-free, non-exclusive license to host, store, transmit, display, and process your User Content solely as necessary to provide and improve the Service. This license terminates when you delete your content or your account.
7.3 Your Responsibility
You are solely responsible for your User Content. You represent and warrant that:
- You own or have the necessary rights to all User Content you submit.
- Your User Content does not infringe any third-party intellectual property rights.
- Your User Content does not violate any applicable law or these Terms.
- Your User Content does not contain personal information of third parties without their consent.
7.4 Content Removal
We reserve the right (but have no obligation) to review, remove, or disable access to any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We are not liable for any loss resulting from such removal.
7.5 Publishing Charts to the Community Store
Rex lets you optionally publish certain User Content ("Charts") to a community store where other users can discover, use, and remix them. If you choose to publish a Chart, you additionally agree to the following:
- Sole responsibility: you are solely responsible for any Chart you publish, including its accuracy and appropriateness for other users, many of whom are students.
- Zero tolerance for objectionable content: published Charts must not contain objectionable, hateful, sexual, dangerous, or infringing content. We apply a zero-tolerance policy to violations of this rule.
- Removal at any time: we may remove any published Chart at any time, for any reason, and may suspend or remove the publishing privileges of repeat offenders.
- User reporting: any user may report a published Chart they believe violates these Terms. A report alone does not automatically hide a Chart — where we determine there is probable cause to believe a reported Chart violates these Terms, it is hidden from the community store while under review. All reports are reviewed within 24 hours of submission.
8. Subscriptions and Payments
Rex may offer free and paid subscription tiers. If you purchase a paid subscription:
- Billing: payment is processed by Apple through the App Store at the time of purchase. Rex does not directly handle payment card information.
- Auto-renewal: subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period.
- Cancellation: you may cancel your subscription at any time by going to your Apple ID account settings on your device. Cancellation takes effect at the end of the current billing period; you will continue to have access until then.
- Refunds: all refund requests are handled by Apple in accordance with Apple's refund policy. Rex does not issue refunds directly. Contact Apple Support for refund requests.
- Price changes: we reserve the right to change subscription prices. We will provide notice of price changes via the App Store or within the App. Your continued subscription after a price change constitutes acceptance of the new price.
- Free trials: if we offer a free trial, your subscription will automatically convert to a paid subscription at the end of the trial unless you cancel before the trial ends.
9. Intellectual Property
The Rex application, including but not limited to its design, code, graphics, UI/UX, logos, trademarks, trade names, and all other content created by Rex ("Rex Content"), is owned by or licensed to Rex and is protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws. All rights not expressly granted in these Terms are reserved by Rex.
You may not use Rex's name, logo, trademarks, or branding without our prior written consent. Any unauthorized use of Rex's intellectual property is strictly prohibited and may result in legal action.
10. Third-Party Services and Links
Rex may integrate with or provide links to third-party services, websites, or content. We do not control, endorse, or assume any responsibility for any third-party services or content. Your use of third-party services is governed by their respective terms and privacy policies. We are not liable for any loss or damage arising from your use of any third-party service or content accessed through Rex.
11. Privacy
Your use of Rex is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data collection, use, and disclosure practices.
12. Disclaimers of Warranties
IMPORTANT — PLEASE READ CAREFULLY. THE FOLLOWING SECTION LIMITS OUR LIABILITY TO YOU.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS PROVIDE THE SERVICE "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY WARRANTIES OF:
- MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
- THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED.
- THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE.
- THAT ANY AI-GENERATED CONTENT IS ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR ANY PURPOSE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
13. Limitation of Liability
IMPORTANT — PLEASE READ CAREFULLY.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.
- COST OF SUBSTITUTE GOODS OR SERVICES.
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA.
- DAMAGES RESULTING FROM YOUR RELIANCE ON AI-GENERATED CONTENT.
- ANY OTHER INDIRECT OR CONSEQUENTIAL LOSS OR DAMAGE.
IN ALL CASES, REX'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO REX IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50.00).
THE LIMITATIONS IN THIS SECTION APPLY WHETHER THE LIABILITY ARISES IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF REX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
14. Indemnification
You agree to defend, indemnify, and hold harmless Rex and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service in violation of these Terms.
- Your User Content.
- Your violation of any applicable law, regulation, or third-party right (including intellectual property rights or privacy rights).
- Any claim that your User Content caused damage to a third party.
Rex reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.
15. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY — IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Service ("Dispute"), you and Rex agree to first attempt to resolve the Dispute informally by contacting us at rexstudyapp@gmail.com. We will try to resolve the Dispute within 30 days of receiving your notice.
If the Dispute is not resolved informally, you and Rex agree to submit the Dispute to binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in Texas, or by telephone or video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
Consumers outside the United States: the arbitration requirement and Texas venue in this Section do not apply to you if the mandatory consumer-protection laws of your country of residence prohibit them. In that case, you may bring claims in the courts of, and under the laws of, your country of residence, and nothing in these Terms removes any non-waivable right or remedy available to you as a consumer under your local law.
16. Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND REX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. If a court finds that this class action waiver is unenforceable for any reason, then the arbitration agreement in Section 15 shall not apply to that Dispute, which shall instead be litigated in a court of competent jurisdiction.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-law provisions. For disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Texas.
Mandatory local law prevails. If you are a consumer, this choice of law and venue does not deprive you of the protection of any mandatory provisions of the law of the country in which you reside. Where you live in the EEA, the United Kingdom, or another jurisdiction whose consumer-protection laws grant you stronger or non-waivable rights, those rights and the courts of your home country remain available to you regardless of the Texas designation above. Rex makes the Service available worldwide and intends these Terms to apply only to the extent permitted by the local law applicable to you.
18. Termination
18.1 Termination by You
You may stop using Rex at any time. You can permanently delete your account and all associated data directly in the App at Settings → Delete Account; this action cannot be undone. You may also request deletion by contacting us at rexstudyapp@gmail.com.
18.2 Termination by Rex
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to: violation of these Terms; conduct that we believe is harmful to other users, Rex, or third parties; or requests from law enforcement or government authorities.
18.3 Effect of Termination
Upon termination: your license to use Rex immediately ends; you must cease all use of the App; we may delete your account and User Content. Sections 9 (Intellectual Property), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), 15 (Dispute Resolution), 16 (Class Action Waiver), and 21 (General Provisions) survive termination.
19. Apple App Store Terms
The following terms apply to your use of Rex downloaded from the Apple App Store:
- These Terms are between you and Rex only, not with Apple, Inc. ("Apple"). Apple has no obligation to provide maintenance or support services for Rex.
- Apple is not responsible for Rex or its content.
- In the event of any failure of Rex to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price for the App (if any). To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to Rex.
- Apple is not responsible for addressing any claims by you or any third party relating to Rex, including product liability claims, consumer protection claims, or intellectual property infringement claims.
- Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple has the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
- You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist-supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
20. Export Compliance
The Service may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export and re-export control laws and regulations. You represent that you are not located in a country that is subject to a U.S. Government embargo and that you are not on any U.S. Government list of prohibited parties.
21. General Provisions
- Entire Agreement: these Terms, together with our Privacy Policy and User Agreement, constitute the entire agreement between you and Rex regarding the Service and supersede all prior agreements.
- Severability: if any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
- No Waiver: our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: you may not assign or transfer these Terms or your rights under them without our prior written consent. Rex may assign these Terms without restriction.
- Force Majeure: Rex shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, riots, labor disputes, government actions, internet or telecommunications failures, or power outages.
- Notices: we may send you notices via the App, your registered email address, or by posting on our website. Notices to Rex should be sent via rexstudyapp@gmail.com.
- Changes to Terms: we reserve the right to modify these Terms at any time. We will notify you of material changes via an in-app notice or your registered email at least 14 days before the change takes effect. Your continued use of Rex after the effective date of the updated Terms constitutes your acceptance.
